Affiliate Program Terms

1. Eligibility

The Note.now Affiliate Program is open to individuals and businesses aged 18 or older. You must apply and be approved before generating referral links. Employees and immediate family members of Note.now are not eligible.

2. Commission Structure

Approved affiliates earn 20% of net subscription revenue (excluding taxes and fees) for each referred customer for the first 12 months of the customer's paid subscription. Commission rates may be adjusted for individual affiliates at our discretion with 30 days' notice.

3. Attribution & Tracking

Attribution is tracked via first-party cookies and server-side sessions. The default attribution window is 90 days from the most recent click on your referral link. Last-click attribution applies where multiple affiliates are involved.

4. Commission Lock Period

Commissions are held in a pending state for 30 days after the associated invoice is paid to account for potential refunds or chargebacks. Commissions will not be paid out during this period. If a refund or chargeback occurs, the associated commission is reversed.

5. Payouts

Payouts are processed monthly. Minimum payout threshold is $50 USD. Affiliates must provide valid payment details and any required tax documentation before payouts can be issued. Affiliates are responsible for all applicable taxes on commission income.

6. Prohibited Promotion Methods

• Bidding on Note.now brand terms in paid search advertising
• Creating misleading content that misrepresents our product or pricing
• Spam email campaigns or unsolicited messages
• Using your own referral link to sign up yourself (self-referral)
• Incentivizing signups with cash or gift payments not authorised by Note.now
• Cookie stuffing or any fraudulent click/attribution manipulation

7. Self-Referral Policy

Affiliates may not use their own referral links to sign up for Note.now accounts. Self-referrals are automatically detected and will result in commission reversal and potential program termination.

8. Chargeback Penalties

Each confirmed payment chargeback initiated by a customer referred by an affiliate will result in a $40.00 USD chargeback penalty applied as a deduction against the affiliate's commission balance. This penalty applies regardless of whether the associated commission has already been paid out. If the commission has been paid, the $40 penalty will be deducted from future commission earnings.

Chargebacks that are successfully reversed or ruled in our favour will have the corresponding penalty removed from the affiliate's ledger.

9. Chargeback Rate Threshold — Automatic Termination

Affiliates whose referred customer base generates a chargeback rate exceeding 2% of total paid conversions (measured on a rolling 90-day basis) will be deemed to have breached the integrity standards of this program and will be immediately suspended pending review.

A chargeback rate above 2% is considered indicative of one or more of the following:

• Fraudulent or low-quality traffic being directed to Note.now
• Misleading, exaggerated, or false promotional claims about the product
• Targeting audiences unlikely to genuinely benefit from the software
• Bad faith promotion designed to earn commission from customers unlikely to retain

Upon exceeding this threshold, the affiliate's account will be flagged as Persona Non Grata. All pending and locked commissions will be frozen pending an investigation. Note.now reserves the right to permanently terminate the affiliate's account and forfeit any unpaid commissions if the threshold breach is confirmed. The affiliate will be notified by email and given 7 days to respond before a final decision is made.

10. Program Changes & Termination

Note.now reserves the right to modify commission rates, terms, or terminate the affiliate program at any time with 30 days' notice. We reserve the right to terminate any affiliate's participation immediately for violations of these terms.

11. Relationship

Affiliates are independent contractors. Nothing in these terms creates an employment, partnership, or agency relationship between Note.now and the affiliate.
