Terms of Service - Note.now

1. Acceptance of Terms

By accessing or using Note.now ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these terms. If you do not agree to these terms, do not use the Service.

2. Description of Service

Note.now is a cloud-based accounting and business financial management platform. The Service includes features for invoicing, expense tracking, bank reconciliation, financial reporting, and related functionality as described on our website. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to notify us immediately of any unauthorized use of your account.

4. Subscriptions and Payments

Paid plans are billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days' notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Refunds are generally not provided for partial billing periods except where required by law or at our sole discretion.

Additional Seats

Each plan includes a defined number of user seats. Additional seats may be purchased at $4.99 per seat per month (billed at the same interval as your base plan). Seat bundles are available at tiered discounts: a bundle of 5 seats is at the standard rate ($4.99 per seat per month); a bundle of 10 seats receives a 10% discount ($4.49 per seat per month); a bundle of 20 seats receives a 20% discount ($3.99 per seat per month). Seat add-ons can be adjusted or cancelled at any time; reductions take effect at the start of the next billing cycle.

Additional Companies (Business Plan)

The Business plan includes 10 company/organization entities by default. Subscribers may add additional companies beyond this limit at an additional cost, enabling unlimited company management. This means the Business plan imposes no permanent cap on the number of entities you can manage — each additional company beyond the included 10 is charged separately. Details of per-company pricing are presented at the time of purchase within the platform.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Process or record fraudulent financial transactions
Attempt to gain unauthorized access to any systems or data
Distribute malware or engage in any activity that disrupts the Service
Reproduce, sell, or commercially exploit any portion of the Service without authorization

6. Your Data

You retain ownership of all financial data you input into Note.now. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service. We do not sell your data. Upon account termination, we will make your data available for export for 30 days, after which it may be deleted.

7. Intellectual Property

Note.now and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. Note.now is not a substitute for professional accounting, tax, or legal advice.

9. Limitation of Liability

To the maximum extent permitted by law, Note.now shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may terminate your account at any time from within your account settings. Upon termination, your right to use the Service immediately ceases.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration where permitted, or in the courts of competent jurisdiction.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
